WeSpend Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the WeSpend application and related services ("Service") provided by WeSpend ("Company", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms.

Please read these Terms carefully before using the Service. If you do not agree to these Terms, you may not use the Service.

2. Definitions

• Service: The WeSpend expense tracking application and related services
• User/Member: Any individual who agrees to these Terms and uses the Service
• Household: An expense tracking unit created or joined by a User
• Partner: Another User who shares the same Household via an invite code

3. Changes to Terms

1. We may modify these Terms at any time. We will provide at least 30 days' notice of any material changes via in-app notification or email.
2. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
3. If you do not agree to the modified Terms, you must stop using the Service and delete your account.

4. Service Description

6. iOS widgets for quick input

7. Other features we may add from time to time

8. We aim to provide the Service 24/7, but may experience interruptions due to system maintenance, equipment failure, or communication issues.

9. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

5. Account Registration

1. To use certain features of the Service, you must create an account.

6. Anonymous login (Browse mode)

6. User Conduct

You agree NOT to:

1. Collect, store, or disclose other users' personal information without authorization
2. Use the Service for any illegal purpose
3. Interfere with or disrupt the Service or its infrastructure
4. Infringe upon our intellectual property rights
5. Defame or harm the reputation of the Company or third parties
6. Use automated means to access the Service (except as permitted)
7. Violate any applicable laws or these Terms

7. Shared Household

1. You may invite other users to your Household using an invite code.
2. Users sharing a Household can view each other's expense records.
3. You are responsible for the accuracy of the expense records you create.
4. If you leave a Household or delete your account, your expense records may remain in the Household.

8. Intellectual Property

1. The Service, including its design, features, and content, is owned by the Company and protected by intellectual property laws.
2. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
3. You retain ownership of the content you create within the Service.

9. Service Restrictions

1. We may limit, suspend, or terminate your access to the Service if you violate these Terms or disrupt the normal operation of the Service.
2. We will notify you of any restrictions, including the reason and duration.
3. You may appeal any restrictions by contacting us.

10. Account Termination

1. You may delete your account at any time through the app settings or by contacting us.
2. Upon account deletion, your personal data will be deleted immediately, except where retention is required by law.
3. We may terminate your account if:

5. You violate applicable laws or these Terms
6. You fail to fulfill your obligations as a user

11. Disclaimers

1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

2. WE DO NOT WARRANT THAT:

4. The results obtained from the Service will be accurate or reliable

8. Service interruptions caused by your actions
9. Any expected profits or benefits you fail to obtain
10. Disputes between users or between users and third parties

12. Limitation of Liability

1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

2. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

3. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Governing Law and Jurisdiction

1. These Terms are governed by and construed in accordance with the laws of the Republic of Korea.
2. Any disputes arising from the Service shall be resolved through good faith negotiations.
3. If negotiations fail, disputes shall be submitted to the exclusive jurisdiction of the Seoul Central District Court, Republic of Korea.

14. Additional Terms for EU/EEA Users

If you are located in the European Union or European Economic Area:

1. Nothing in these Terms affects your statutory rights as a consumer.
2. You have the right to bring legal proceedings in the courts of your country of residence.

15. Additional Terms for US Users

If you are located in the United States:

1. Arbitration Agreement: Unless otherwise specified, any disputes relating to these Terms or the Service shall be resolved through binding arbitration.

2. Class Action Waiver: You agree to waive any right to participate in a class action lawsuit or class-wide arbitration, to the extent permitted by law.

3. Arbitration Rules: Arbitration shall be conducted in accordance with the Consumer Arbitration Rules of the American Arbitration Association (AAA).

4. Opt-Out: You may opt out of this arbitration agreement by notifying us in writing within 30 days of creating your account.

16. General Provisions

1. No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

2. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

3. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service.

4. Assignment: You may not assign or transfer your rights under these Terms without our prior written consent.
